1. About these terms
These Terms of Use ("Terms") are a binding agreement between you and VanaNexus, a sole-proprietorship registered in Sri Lanka under the Business Names Ordinance (Cap. 149), Reg. No. TN/DS/UC/1192 ("VanaNexus", "we", "us"). By visiting vananexus.net ("the Site") or sending us a message, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms cover the Site only. Use of our products is governed by the relevant product agreement (for example, the Jobara subscription agreement and Data Processing Agreement), which takes precedence over these Terms in the event of a conflict in respect of that product.
2. Use of the Site
You may use the Site to learn about VanaNexus and our products, to contact us, and to follow links to our products. You may not:
- Use the Site for any unlawful purpose, or in a way that infringes our or any third party's rights.
- Attempt to gain unauthorised access to the Site, its server infrastructure, or any related system.
- Probe, scan, or test the vulnerability of the Site without prior written authorisation.
- Send automated traffic, scrape content at volume, or interfere with the Site's normal operation.
- Use the Site to send unsolicited communications or to harvest data.
- Frame, mirror, or repurpose the Site or its content without our written permission.
3. Intellectual property
All content on the Site — including the VanaNexus name and logo, product names ("Jobara", "3S", "Studio Lab"), text, layout, design, code, illustrations, and graphics — is owned by VanaNexus or our licensors and is protected by applicable copyright, trademark, and related laws. You may view and share links to the Site for personal or internal business reference. Any other use, including reproduction, redistribution, or use in derivative works, requires our prior written permission.
Where we have published code or documents under an open-source licence, the licence file accompanying that material governs use of it and supersedes this section for that material.
4. Third-party links
The Site may link to third-party websites (for example, our hosted products, partner sites, or social profiles). We do not control and are not responsible for the content, terms, or privacy practices of any third-party site. Following an external link is at your own risk.
5. No warranties
The Site is provided "as is" and "as available". To the maximum extent permitted by law, we make no representations or warranties of any kind, express or implied, about the Site's availability, accuracy, completeness, fitness for a particular purpose, or freedom from error or interruption. Information about our products on the Site is for general information only and does not form part of any product contract.
6. Limitation of liability
To the maximum extent permitted by applicable law, VanaNexus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Site, whether based on contract, tort, statute, or any other legal theory.
Where liability cannot be excluded by law, our aggregate liability arising out of or in connection with the Site is limited to the greater of (a) the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.
Nothing in these Terms limits any liability that cannot lawfully be limited, including liability for death, personal injury, or fraud.
7. Indemnity
You agree to indemnify and hold harmless VanaNexus from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your unlawful use of the Site or your breach of these Terms.
8. Privacy
Your use of the Site is also subject to our Privacy Policy, which explains what personal data we collect and how we use it.
9. Changes to these terms
We may update these Terms when our products, infrastructure, or legal obligations change. The "Last updated" date at the top of this page reflects the latest revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
10. Suspension or termination
We may suspend or restrict access to the Site at any time, without notice, where we reasonably believe such action is necessary to protect the Site, our users, or third parties — for example, in response to abuse, attempted intrusion, or a legal request that meets the applicable legal standard.
11. Governing law and disputes
These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any dispute arising out of or in connection with these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts of Sri Lanka, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
